xesp.in is an online marketplace where members can buy or sale products in their own shop set up. xesp.in is a project of Scriptgiant Technologies Pvt. Ltd. AB-97, Prafulla Kanan (West),  Kolkata – 700 101, West Bengal, India. By using the xesp.in website you agree to be bound by the following terms & conditions which may refer as “User Agreement” including those additional terms & conditions and policies referred herein and/or available in the site. This agreement applies to all users of the site, including without limitation users who are sellers, customers, contributors of content, information of other materials or services on the site.

Scope of Terms & Conditions:

The terms & condition covers the contractual relationship between Scriptgiant and members of xesp.in who will be using the services of Scriptgiant. These terms & conditions apply only to the accomplishment of the contract between members on the xesp.in online platform. The terms and conditions do not apply to any impairment of performance within the contractual relationship between members.

These terms & conditions come into effect after registering on xesp.in. By clicking on the “I Agree” button you agree to be bound by these terms & conditions.

You can recall your consent or cancel the contract between you and Scriptgiant in writing according to the suspension, recall and cancellation regulations. Our seller services are not available to, and may not be used by, persons under the age of 18 years and persons who are not the citizen of India.

Membership Eligibility & Registration:

No registration fees require if you use xesp.in to search products, shops or members. Member registration is required for a variety of features, functions and services such as adding to the wish list, products, shops and members, contacting other members, making comments, rating products, selling and buying items.
 
Getting registered as a member is free of charge. We reserve the right to refuse service and registration to anyone for any reason at any time. When you register and agree to be bound by these terms & conditions, a contract between Scriptgiant and you will be made for the use of xesp.in.
 
Our services are available only to, and may only be used by individuals who can form legally binding contracts under applicable law. Our services are not available to persons under the age of 18. If you are registering as a business entity, you represent that you have the authority to bind the entity of these terms & conditions.

You declare yourself willing to provide us with true, accurate, up-to-date and complete information as specified in the course of registration. You must use every effort to keep your password safe and should not disclose it to any other person. You shall not transfer or sell your User Name to any other person.
 
We reserve the rights to delete accounts that have not gone through the registration process will be considered as invalidated registration.

Suspension, Recall and Cancellation:

We may take the following actions to suspend or terminate your registration and refuse to provide our services without any prior notice if you breach these terms & conditions or if we believe that your actions may cause us or our members any kind of financial loss or legal liability

Remove or delete any of your item listings or other content provided by you at xesp.in

Scriptgiant reserves the right to suspend your registration irrevocably and refuse services as well to you without notice if the feedback we receive repeatedly contains negative ratings; false contact data i.e. false or invalid email address, postal address etc.

If you try to damage other members of Scriptgiant or abuse the services of xesp.in and if so ever the management finds any of them to be valid then management has the sole right to suspend your registration without previous notification.

Scriptgiant reserves the right to cancel this User Agreement at any time and for any reason with a notice period of 7 (Seven) days.

Suspended members will not be permitted to use xesp.in anymore in future or create a new member account.

You can cancel the User Agreement at any time between you & Scriptgiant in the form of written document or inform us via email.

Listing & Selling:

Registered members of xesp.in can sell their items and offers easily through this online shop.  

Listing your products at xesp.in is free of charge. We charge only transaction fees for every successful sale through our site. Our fees are described in our fees policy which forms a part of this User Agreement.  

Item must be listed in an appropriate category. Your item and all terms of sale must be described with text description, graphics and pictures on the listing page of xesp.in.

You are responsible for ensuring that you have the right to use all content on your listing and that Scriptgiant has the right to host it in its servers. All contents refer to the items listed on xesp.in other than the products that are not listed.  

All information relevant to the purchase decision, payment, delivery and delivery time must be true, accurate and complete.

As a business person offering goods and services to consumers, you are obligated to give all necessary information regarding consumer protection as required by law and to details legal disclaimer rights if required by law.

Prohibited Items :

Following are the list of products or services will not be uploaded in xesp.in that is not in compliance with all applicable laws and regulations whether federal, state, local or international including the laws of India.

1) Adult goods and services which includes pornography and other sexually suggestive materials (including literature, imagery and other media), escorts or prostitution services.

2) Alcohol which includes Alcohol or Alcoholic beverages.

3) Bulk marketing tools which include email lists, software, or other products enabling unsolicited email messages (spam).

4) Child pornography which includes pornographic materials involving minors.

5) Copyright media which includes unauthorized copies of books, music, movies and other licensed or protected materials.

6) Hacking and cracking materials which include manuals, how-to-guide, information or equipment enabling illegal access to software, servers, websites or other protected property.

7) Offensive goods which includes books & newsletters, products or other materials that:

(a) Defame or slander any person or groups of people based on race, ethnicity, national origin, religion, sex or other factors.

(b) Encourage or incite violent act.

(c) Promote intolerance or hatred.

8) Prescription drugs or herbal drugs or any kind of online pharmacies which includes drugs or other products requiring a prescription by a licensed medical practitioner.

9) Pyrotechnic devices, combustibles, corrosives and hazardous materials which includes explosives, fireworks and related goods; toxic, flammable, and radioactive materials and substances.

VAT & Other Taxes:

VAT and other taxes applicable to the seller should be included in the price mentioned for the product. The seller will be responsible for paying the taxes for each & every sale.

Whenever sales for a product needs a special government permit or any other documentations as applicable (in case of b2b shipping to specific states etc.) the seller shall take the responsibility to obtain the same.

As a seller you should not charge Scriptgiant’s transaction fees to the buyer directly or indirectly. However you are free to increase/decrease your product price anytime as per the market demand.

Fees & Billing :

Becoming a member of xesp.in is free. Scriptgiant does not charge fees for enlisting the buying items. But if a purchase is made on xesp.in, Scriptgiant then can charge transaction fees on the transaction made from the shop to the seller.

We may change our policies at any time. The changes will be effective after the expiry of one month by notifying you via email.

Once the shipment reaches the buyer, the seller’s bank account will be credited with the price minus Scriptgiant’s Transaction fees.

Buying :

By purchasing an item you agree to be bound by the conditions of sale included in the item’s description provided that, those conditions of sale are not in breach of this User Agreement or otherwise unlawful.

As a buyer, you must ensure that you are legally able to buy any item that you purchase on the site.

Scriptgiant is not responsible for any kind of side effects that one might endure by use of handmade cosmetics or toiletries available in the marketplace. So please consult a dermatologist before using such products. Scriptgiant recommends buyer to look for the other users’ testimonials before making the purchase decision.   

Scriptgiant allows its users, who comply with its policies to offer, sell and buy goods within a fixed price format. Scriptgiant takes all necessary steps to ensure that the seller is genuine but cannot guarantee the quality, safety or legality of any aspects of the items listed or the accuracy of the listing. The buyer acknowledges this risk while he agrees to this terms & conditions.

Testimonials & Ratings :

The Scriptgiant’s testimonial and feedback system shall help users to evaluate the person with whom they are dealing, avoid fraud and guarantee quality. The feedback system consists of comments and rating left by the buyer after a sale contract has been established between the two.

Members are obliged to give their testimonials and feedback in an explicitly true, faithful and objective oriented. They should give feedback only about details related to the respective purchase. Feedback shall not contain defamatory statements, shall be based upon facts and needs to be in accordance with legal regulations.  

Users are not permitted to give feedback about oneself or arrange for third parties to give feedback. Scriptgiant reserves the right to delete feedback and ratings in case if the feedback & ratings violate these terms and conditions or legal regulations.

Liability & Warranty:

Scriptgiant will not be liable for any information provided by its members on xesp.in. We claim no intellectual property rights over the material provide by members of xesp.in.  

In the event that you have any right, claim or action against any other user arising from the user’s use of the site, you agree to pursue such right, claim or action independently of and without recourse to us, and you release Scriptgiant (and our parent, subsidiaries, affiliates, officers, directors, agents and employees) from all claims, liability, damages, losses, costs and expenses, including legal fees, known and unknown, arising from or in any way connected with such right, claim or action.

General:

You agree that this User Agreement and all incorporated agreements may be automatically assigned by Scriptgiant, in our sole discretion, to a third party in the event of a merger or acquisition or any other event. You and Scriptgiant are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by the User Agreement. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. This User Agreement sets forth the entire understanding and agreement between us with respect to its subject matter. No oral explanation or oral information given by any party shall alter the interpretation of this User Agreement.

This agreement will prevail over any conditions of sale imposed by a seller. Our Privacy Statement and Fees Policy are incorporated in this User Agreement by reference. Each of the policies may be amended from time to time and material changes will be posted on the Announcement Board except for the privacy policy for which we will provide you with thirty days notice.

Fees Policy :

Scriptgiant makes money only when you make money. We have an open and transparent fee structure and charge the sellers ONLY transaction fees on every successful sale of a product.

Free Services:

Setting up a user and seller account is free where you can use Scriptgiant’s marketplace (including customer’s service) and a wide variety of features on the website. Please be fair and use these functions diligently.

Transaction Fees :

For each successful sale of yours, you will be liable to pay Scriptgiant a ___% Transaction Fees. This is inclusive of the fee that we will be paying through our payment gateway which keeps the transactions on this site completely safe and hassle free. Please feel free to modify your selling rate keeping this in mind. We want you to have a profitable stay at xesp.in and earn a handsome income through us.
